OVERVIEW

Welcome to the Woodiny shop! The terms "we," "us," and "our" refer to Woodiny, a trading name operated by OSVČ Anton Malkov, IČO: 29558875, a private individual (hereinafter "Operator"). The Operator operates this shop and website, including all related information, content, features, tools, products, and services, to provide you, the customer, with a comfortable shopping environment (hereinafter "Services"). Woodiny uses the Shopify platform to provide the Services.

The terms of service set out below, together with any policies referenced herein (hereinafter "Terms of Service" or "Terms"), describe your rights and obligations when using the Services.

When you place an order, you are making an offer to purchase. Woodiny reserves the right to accept or reject your order for any reason at its discretion. Your order will not be accepted until Woodiny confirms it. We must receive and process your payment before your order is accepted. Please carefully review your order before submitting it, as Woodiny may not be able to accommodate cancellation requests after the order has been accepted. In the event that we do not accept, modify, or cancel an order, we will attempt to inform you via the email address, billing address, and/or telephone number you provided when placing the order.

Your purchases may be returned or exchanged solely in accordance with our refund policy.

You represent and warrant that your purchase is intended for your personal or domestic use and is not intended for resale or export.

SECTION 4 – PRICING AND BILLING

Prices, fees, and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be stated in the order confirmation email. Unless expressly stated otherwise, listed prices include VAT and do not include shipping and handling fees, duties, or import charges.

Prices listed in our online store may differ from prices offered in a physical store or in online stores or other stores operated by third parties. From time to time we may offer promotions relating to the Services that may affect pricing and are governed by terms different from these Terms. In the event of a conflict between the terms of a promotion and these Terms, the promotion terms shall prevail.

You represent and warrant that (i) the credit card information you have provided is true, correct, and complete, (ii) you are duly authorized to use that credit card for the purchase, (iii) charges incurred by you will be honored by your credit card, and (iv) you will pay charges incurred by you at the posted prices, including shipping and handling charges and all applicable taxes, where applicable.

SECTION 5 – SHIPPING AND DELIVERY

We are not responsible for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping companies, customs clearance, or events beyond our control. Once we hand over the products to the carrier, title and risk of loss pass to you.

SECTION 6 – INTELLECTUAL PROPERTY

Our Services, including but not limited to all trademarks, marks, text, graphic representations, images, graphics, product reviews, videos, and audio recordings, as well as their design, selection, and arrangement, are the property of Woodiny, its affiliates, or licensors and are protected by patents, copyrights, and other intellectual property laws.

Without our prior written consent, you may not reproduce, distribute, modify, publicly display, publicly perform, republish, download, store, transmit, or create derivative works from any material from the Services. The names, logos, product and service names, designs, and slogans of Woodiny are trademarks of Woodiny or its affiliates or licensors. You may not use these trademarks without the prior written consent of Woodiny. The name, logo, product and service names, designs, and slogans of Shopify are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans within the Services are trademarks of their respective owners.

You may be provided with access to customer tools offered by third parties through the Services, which we neither monitor nor have any control over.

You acknowledge and agree that we provide access to such tools "as is" and "as available," without any warranties, representations, or conditions of any kind and without any support. We accept no liability for the use of optional third-party tools.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

Woodiny uses the Shopify platform, which enables us to provide the Services to you. However, all purchases and sales you make in our store are transacted directly with Woodiny (represented by Anton Malkov as Operator). By using the Services, you acknowledge and agree that Shopify bears no responsibility for any aspect of the transaction between you and Woodiny, including any injury, damage, or loss arising from the purchase of products and services. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Woodiny.

You agree that your Feedback will not violate any rights of third parties, including copyrights, trademarks, privacy rights, rights of publicity, or other personal or proprietary rights. You further agree that your Feedback will not contain defamatory or otherwise unlawful, abusive, or obscene comments and will not contain any computer viruses or other malicious software. In addition, you agree not to: (a) upload or transmit viruses or any other type of malicious code; (b) reproduce, duplicate, copy, extract, sell, resell, or exploit any part of the Services; (c) collect or track personal information of others; (d) use the Services for spam, phishing, pharming, or pretexting; (e) use any robots, spiders, scrapers, data collection and extraction tools, automated devices or processes, AI tools, or automated or manual means to access the Services; or (f) disrupt or circumvent security or authentication features. We reserve the right to suspend, deactivate, or terminate your account at any time without notice if we determine that you have violated any part of these Terms.

14.4 Agents must: (i) identify in all HTTP/HTTPS requests that the request is from an Agent and include the name of the Agent in the request's user agent string: "Agent/[agent name]"; (ii) not conceal or obscure that any access, use, or interaction originates from an Agent, for example by mimicking human behavior or bypassing CAPTCHA tests; (iii) truthfully answer any questions or prompts designed to determine whether interactions originate from a human or a computer; (iv) not circumvent or otherwise avoid any measure designed to block, restrict, modify, or control whether and how Agents access, use, or interact with the Services.

We may terminate this agreement or your access to the Services (or any part thereof) at any time without notice at our sole discretion, and you will remain liable for all amounts due up to and including the date of termination.

The following sections shall survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

WE DO NOT WARRANT, REPRESENT, OR GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED OR OTHER WARRANTIES, SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.

SECTION 17 – LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANTON MALKOV TRADING AS WOODINY, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS, OR SHOPIFY AND ITS AFFILIATES, SHALL NOT BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICES OR PRODUCTS OBTAINED THROUGH THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SECTION 18 – INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Woodiny (Anton Malkov), Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims, including reasonable legal fees, payable to any third party arising out of or in connection with (1) a breach of these Terms of Service, (2) your violation of any law or third-party rights, or (3) your access to and use of the Services.

SECTION 19 – SEVERABILITY

In the event that any provision of these Terms of Service is found to be unlawful, void, or unenforceable, such provision shall nevertheless be enforceable to the maximum extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms of Service, and such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 20 – WAIVER AND ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Services constitute the entire agreement and understanding between you and us and govern your use of the Services, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us.

These Terms of Service and any separate agreements pursuant to which we provide you Services shall be governed by and construed in accordance with the laws of the Czech Republic, where Woodiny is based. You and Woodiny agree to submit to the local jurisdiction and personal jurisdiction of the courts of the Czech Republic.
